Version: FA-TERMS-2026-10-17-REVIEW. FrontAgent is a service provider. This document preserves the existing agreement and adds separate demonstration, call, text and recording permissions in Section 22.
Important Notice
These Terms contain limitations of liability, disclaimers, indemnity obligations, and rules governing disputes. By accessing the Site or using the Services, you agree to these Terms. If you accept these Terms for a business or other organization, you represent that you have authority to bind that organization.
1. Agreement and Scope
These Terms of Use (the “Terms”) are a legal agreement between you and [FULL LEGAL ENTITY NAME], doing business as FrontAgent (“FrontAgent,” “we,” “us,” or “our”). These Terms govern your access to frontagent.app and related pages (the “Site”) and any FrontAgent-hosted or FrontAgent-enabled call answering, conversational assistance, transcription, order or request capture, routing, summaries, dashboards, integrations, and related features (collectively, the “Services”).
“Business Customer” means a business or organization that subscribes to, configures, or deploys the Services. “Caller” means a person who communicates with a Business Customer through the Services. “User” means any Site visitor, Business Customer, authorized account user, or Caller, as applicable.
A signed order form, master services agreement, data processing agreement, business associate agreement, or other written agreement with FrontAgent (each, a “Service Agreement”) may add to or modify these Terms. If there is a conflict, the Service Agreement controls for the subject it covers.
2. Eligibility and Authority
You must be at least 18 years old and legally capable of entering into a binding agreement to create an account or purchase Services. If you use the Services for an organization, you represent that you are authorized to act for it and that the organization accepts these Terms. You may not use the Services if doing so would violate applicable law or a binding obligation to another person.
3. What FrontAgent Does
FrontAgent provides technology and related services that may answer or assist with business telephone calls, communicate with callers, answer routine questions and provide information about a Business Customer’s orders, menu or food items, business hours, services, availability, policies, and other approved business information, take and record orders or customer requests, transmit or enter captured orders and related details into a Business Customer’s designated terminal, point-of-sale system, dashboard, or other approved destination, and, when configured or requested by the Business Customer, attempt to transfer calls to the Business Customer’s owner, employee, or other designated person. FrontAgent relies on information supplied or approved by the Business Customer when providing these explanations and responses. Some responses may be generated or assisted by artificial intelligence and may contain errors, omissions, delays, or misunderstandings.
FrontAgent is not the merchant, restaurant, professional, healthcare provider, emergency service, or other business that a Caller is trying to reach. The Business Customer—not FrontAgent—is responsible for its goods and services, prices, taxes, availability, fulfillment, refunds, professional advice, licensing, and customer relationships. Unless FrontAgent expressly agrees otherwise in a separate written Service Agreement, the Business Customer is also responsible for collecting and processing payments from its customers.
4. No Emergency, Professional, or High-Risk Use
The Services are not an emergency service and must not be used to contact 911, request urgent medical or safety assistance, or manage situations where delay or error could cause death, personal injury, serious property damage, or substantial financial harm.
Unless a separate written agreement expressly authorizes a specific compliant use, the Services do not provide medical, legal, tax, accounting, investment, insurance, or other licensed professional advice. Users must obtain appropriate human review before relying on Service output for health, safety, legal rights, financial decisions, regulated transactions, allergies, dietary restrictions, or other material decisions.
5. Accounts and Security
Business Customers must provide accurate account information, keep login credentials confidential, use reasonable security controls, and promptly notify FrontAgent at [SECURITY EMAIL] of suspected unauthorized access. A Business Customer is responsible for activity under its accounts and for managing its authorized users, except to the extent caused by FrontAgent’s breach of an applicable Service Agreement or law.
You may not share credentials outside your organization, bypass access controls, probe or test the Services without permission, or use another person’s account. FrontAgent may require identity or authority verification before changing account ownership, payment details, integrations, or administrative access.
6. Business Customer Responsibilities
Each Business Customer is responsible for configuring and supervising its use of the Services and for ensuring that the information supplied to FrontAgent—including menus, hours, prices, taxes, inventory, service areas, policies, scripts, staff contacts, and escalation instructions—is accurate, lawful, current, and complete.
Review captured orders, appointments, and customer requests before fulfillment when confirmation is reasonably necessary;
Maintain a practical human fallback and escalation process for exceptions, complaints, accessibility needs, and urgent matters;
Honor lawful commitments made to callers and correct errors promptly;
Provide all notices and obtain all consents required for recording, transcription, monitoring, AI-assisted communication, marketing, and data processing;
Use the Services only for lawful business purposes and in accordance with industry rules, licenses, and professional obligations; and
Avoid submitting sensitive data unless the applicable Service Agreement and FrontAgent documentation expressly support that data type and the Business Customer has a lawful basis to process it.
7. Call Recording, Transcription, and Consent
The Services may support call recording, transcription, monitoring, summaries, quality review, or similar processing only when enabled or described in the applicable Service Agreement or product notice. Laws governing calls differ by jurisdiction and may require consent from every participant before recording or interception.
The Business Customer is responsible for determining which laws apply to each communication and for providing legally sufficient notices and obtaining required consent before recording, transcribing, monitoring, or otherwise processing a call. A FrontAgent prompt or configuration option does not replace the Business Customer’s legal responsibility. If required consent is not obtained, the Business Customer must disable the affected feature or stop the communication. Users may not secretly record, intercept, or disclose private communications through the Services.
8. Orders, Appointments, Requests, and Payments
A captured order, appointment, reservation, or request is a transmission of information to the Business Customer and is not guaranteed to be accepted, available, accurate, or fulfilled. Unless the Business Customer clearly states otherwise, a transaction is confirmed only when the Business Customer accepts it through its normal process.
The Business Customer controls product and service descriptions, prices, taxes, fees, discounts, availability, fulfillment, cancellations, refunds, and charge disputes. Callers should verify material details directly with the Business Customer. FrontAgent is not responsible for food preparation, allergens, delivery, professional services, or the quality or legality of a Business Customer’s products or conduct.
FrontAgent’s service deliverable is the captured order, request, message, transfer attempt, and related operational information. FrontAgent may create or retain call records, summaries, transcripts, or recordings when enabled and legally permitted, but unless a Service Agreement expressly states otherwise or applicable law requires it, FrontAgent is not obligated to provide the Business Customer with the complete dialogue between FrontAgent and a Caller, a verbatim transcript, an audio recording, or other underlying conversation record.
When call transfer is enabled or requested by the Business Customer, FrontAgent may attempt to transfer a call to the owner, employee, or other designated recipient. A transfer is not guaranteed and may depend on telecommunications availability, recipient availability, configuration, and other factors outside FrontAgent’s control.
FrontAgent does not collect, accept, authorize, or process payments from Callers for the Business Customer’s orders, products, or services unless FrontAgent expressly agrees otherwise in a separate written Service Agreement. The Business Customer is responsible for arranging and managing customer payment collection and processing through its own terminal, point-of-sale system, payment processor, or other payment method, including payment confirmation, refunds, and chargebacks. Taking, recording, transmitting, or entering an order does not constitute collecting or processing payment or confirming that payment has been received. Any future payment-related service requires a separate written Service Agreement defining its scope and the parties’ responsibilities. This provision concerns payments by the Business Customer’s customers and does not affect the Business Customer’s obligation to pay FrontAgent’s service fees under Section 13. Users must not provide full payment-card data, government identification numbers, health information, or account credentials through the Services unless FrontAgent expressly confirms that the applicable workflow is designed and authorized for that data.
9. Acceptable Use
You may not, and may not permit another person to:
Use the Site or Services unlawfully, fraudulently, deceptively, abusively, or to harass, threaten, discriminate against, exploit, or impersonate another person;
Generate or distribute spam, unlawful telemarketing, robocalls, phishing, malware, or deceptive caller identification;
Record, monitor, transcribe, or disclose a communication without required notice, consent, or other legal authority;
Submit content that infringes intellectual property, privacy, publicity, confidentiality, or other rights;
Attempt to extract models, prompts, source code, nonpublic data, or security information, or reverse engineer the Services except where law expressly permits;
Interfere with, overload, evade limits on, or disrupt the Services, or use automated means to access them except through approved interfaces;
Use Service output as the sole basis for decisions producing legal or similarly significant effects on a person without appropriate notice, authority, and human review; or
Use the Services to build or improve a competing model or service except with FrontAgent’s written permission.
10. Customer Content and Permissions
“Customer Content” means data, scripts, menus, instructions, recordings, transcripts, caller information, files, and other content submitted to or generated through a Business Customer’s use of the Services. As between FrontAgent and the Business Customer, the Business Customer retains its rights in Customer Content.
The Business Customer grants FrontAgent and its service providers a limited, nonexclusive right to host, transmit, process, reproduce, and display Customer Content only as reasonably necessary to provide, secure, support, and improve the Services, comply with law, and enforce applicable agreements, subject to the Privacy Notice and any Service Agreement. The Business Customer represents that it has all rights, notices, consents, and lawful bases needed for FrontAgent to process Customer Content as instructed.
[BUSINESS DECISION REQUIRED: State whether Customer Content may be used to train or improve general AI models, whether that use is opt-in or opt-out, and whether de-identified or aggregated data may be used for analytics. Do not publish this bracketed note; replace it with the approved policy.]
11. Privacy
FrontAgent’s Privacy Notice explains how FrontAgent collects, uses, shares, retains, and protects personal information. The Privacy Notice is incorporated into these Terms by reference. A Business Customer may separately control personal information processed through its deployment of the Services and is responsible for its own privacy notices and legal obligations. If a data processing agreement applies, it controls the processing it covers.
12. Third-Party Services
The Services may interoperate with telecommunications carriers, point-of-sale systems, scheduling platforms, cloud providers, analytics tools, and other third-party services. Payment processors may be used to collect FrontAgent’s service fees; any payment processing for a Business Customer’s customers is subject to the separate written Service Agreement required by Section 8. Third-party services are governed by their own terms and privacy practices. FrontAgent does not control and is not responsible for third-party services, but this does not limit any responsibility FrontAgent cannot lawfully disclaim. Changes or outages affecting a third-party service may affect the Services.
13. Fees, Billing, Renewal, and Cancellation
Fees, usage charges, included features, billing periods, taxes, renewal terms, and cancellation rights are stated at checkout or in the applicable Service Agreement. Unless that agreement states otherwise, fees are charged in U.S. dollars and are nonrefundable except as required by law or expressly stated in writing.
If a subscription renews automatically, FrontAgent will disclose the material renewal terms before obtaining payment authorization and will provide a simple method to cancel recurring charges as required by applicable law. Cancellation stops future renewal and does not retroactively cancel charges already incurred. Usage charges incurred before cancellation remain payable.
FrontAgent may suspend paid features for overdue amounts after any notice or cure period required by the Service Agreement or law. The Business Customer is responsible for applicable sales, use, communications, and similar taxes, excluding taxes based on FrontAgent’s net income.
14. Intellectual Property and Feedback
FrontAgent and its licensors own the Site, Services, software, designs, documentation, trademarks, and related intellectual property, excluding Customer Content. Subject to these Terms and payment of applicable fees, FrontAgent grants authorized Users a limited, revocable, nonexclusive, nontransferable right to use the Services for the Business Customer’s internal business operations during the subscription term.
If you voluntarily provide suggestions or feedback, FrontAgent may use them without restriction or compensation, provided FrontAgent does not identify you publicly without permission. Nothing in these Terms restricts a User from providing an honest review or lawful assessment of FrontAgent’s products, services, or conduct.
Telephone Numbers Provided with the Services. FrontAgent may provision, assign, or make available one or more telephone numbers for a Business Customer’s use with the Services. Unless a Service Agreement expressly states otherwise, each telephone number provided by FrontAgent is provided solely for use with the Services and remains under FrontAgent’s ownership and control, subject to applicable law and carrier rules. The telephone number is not sold, transferred, or assigned to the Business Customer. The Business Customer receives only a limited, revocable right to use the number during the applicable service term and may not port, transfer, sell, assign, or use the number outside the Services without FrontAgent’s prior written authorization. FrontAgent may administer, replace, reassign, suspend, or discontinue the number as reasonably necessary, subject to applicable law, carrier requirements, and any Service Agreement.
15. Service Changes, Availability, and Beta Features
FrontAgent may update the Services to improve functionality, security, legal compliance, or reliability. FrontAgent will not materially reduce paid core functionality during a committed subscription term except when reasonably necessary for security, legal compliance, third-party changes, or prevention of harm, and subject to any rights in the Service Agreement.
The Services may be interrupted or unavailable. Beta, preview, trial, or experimental features may be changed or discontinued and are provided for evaluation unless otherwise stated. FrontAgent does not guarantee uninterrupted service, perfect transcription, error-free AI output, or that every call, order, appointment, or request will be completed.
16. Suspension and Termination
FrontAgent may suspend or terminate access when reasonably necessary to address a material breach, security risk, unlawful activity, harm to a person or the Services, nonpayment, or a legal requirement. When practical and lawful, FrontAgent will provide notice and a reasonable opportunity to cure. A User may stop using the Site at any time, and a Business Customer may cancel according to its Service Agreement.
Upon termination, rights to use the Services end. Provisions that by their nature should survive—including payment obligations, intellectual property, confidentiality obligations in a Service Agreement, disclaimers, limitations of liability, indemnity, dispute provisions, and general terms—will survive. Customer Content will be handled according to the Privacy Notice, Service Agreement, and applicable law. Any right to use a telephone number provided by FrontAgent ends when the applicable Services terminate, and the Business Customer must stop advertising or using that number unless FrontAgent agrees otherwise in writing or applicable law or carrier rules require a different process.
17. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” FRONTAGENT DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. FRONTAGENT DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE; THAT AI-GENERATED OR TRANSCRIBED CONTENT WILL BE COMPLETE OR ACCURATE; OR THAT A BUSINESS CUSTOMER WILL ACCEPT OR FULFILL A CALLER’S ORDER, APPOINTMENT, OR REQUEST.
SOME JURISDICTIONS DO NOT ALLOW CERTAIN DISCLAIMERS, SO SOME OF THE ABOVE MAY NOT APPLY. THESE TERMS DO NOT LIMIT RIGHTS THAT CANNOT BE WAIVED UNDER APPLICABLE LAW.
18. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER FRONTAGENT NOR ITS AFFILIATES, LICENSORS, OR SERVICE PROVIDERS WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, BUSINESS, GOODWILL, OR DATA, ARISING OUT OF OR RELATED TO THE SITE OR SERVICES, EVEN IF ADVISED THAT SUCH DAMAGES ARE POSSIBLE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FRONTAGENT’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SITE, SERVICES, AND THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID OR PAYABLE BY THE BUSINESS CUSTOMER TO FRONTAGENT FOR THE AFFECTED SERVICES DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) $100 IF THE CLAIMANT USED ONLY FREE SITE FEATURES.
FOR A CLAIM ARISING SOLELY FROM AN ERROR IN TAKING, RECORDING, TRANSMITTING, OR ENTERING AN ORDER OR CUSTOMER REQUEST, AND TO THE MAXIMUM EXTENT PERMITTED BY LAW, FRONTAGENT MAY, IN ITS DISCRETION, CONSIDER A SERVICE CREDIT OR REFUND NOT EXCEEDING THE TIME-BASED SERVICE CHARGE ATTRIBUTABLE TO THE AFFECTED CALL OR ORDER. EXCEPT AS REQUIRED BY LAW OR EXPRESSLY PROVIDED IN A SERVICE AGREEMENT, FRONTAGENT IS NOT RESPONSIBLE FOR THE VALUE OF THE ORDER, LOST SALES, FOOD OR PRODUCT COSTS, LABOR, DELIVERY COSTS, CUSTOMER REFUNDS, CHARGEBACKS, LOST PROFITS, OR OTHER CONSEQUENTIAL LOSSES RESULTING FROM SUCH ERROR. ANY CREDIT OR REFUND PROVIDED UNDER THIS PARAGRAPH IS THE SOLE MONETARY REMEDY UNDER THESE TERMS FOR THAT ORDER-TAKING ERROR.
THE LIMITATIONS IN THIS SECTION DO NOT APPLY TO LIABILITY THAT CANNOT LAWFULLY BE LIMITED. A SERVICE AGREEMENT MAY STATE DIFFERENT LIMITS FOR A BUSINESS CUSTOMER.
19. Indemnification
To the extent permitted by law, a Business Customer will defend, indemnify, and hold harmless FrontAgent and its affiliates, officers, directors, employees, and service providers from third-party claims, damages, judgments, penalties, costs, and reasonable attorneys’ fees arising from: (a) the Business Customer’s products, services, fulfillment, pricing, taxes, professional advice, or customer relationship; (b) Customer Content; (c) failure to provide required notice or obtain required consent for recording, transcription, monitoring, marketing, or data processing; (d) violation of law or third-party rights; or (e) material breach of these Terms or a Service Agreement. FrontAgent will provide reasonable notice and cooperation, and the Business Customer may not settle a claim in a manner that admits fault by or imposes obligations on FrontAgent without FrontAgent’s written consent.
20. Governing Law and Disputes
These Terms are governed by the laws of the State of Washington, without regard to conflict-of-law principles. Before filing a lawsuit, each party agrees to send written notice describing the dispute and to attempt in good faith for 30 days to resolve it, except that either party may seek immediate injunctive or equitable relief for misuse of intellectual property, unauthorized access, security threats, or other irreparable harm.
Subject to any controlling Service Agreement and applicable law, exclusive jurisdiction and venue for disputes arising from these Terms will lie in the state or federal courts located in King County, Washington, and each party consents to those courts. [ATTORNEY REVIEW REQUIRED: Decide whether to add arbitration, a class-action waiver, or a jury-trial waiver. None is included in this document.]
21. Changes to These Terms
FrontAgent may revise these Terms from time to time. The updated version will state a new effective date. If a change materially affects a Business Customer’s rights or obligations, FrontAgent will provide reasonable advance notice through the account, email, or another appropriate method unless an earlier change is required by law or to address an urgent security or abuse issue. Continued use after the effective date constitutes acceptance of the revised Terms. If a Business Customer does not agree, it must stop using the affected Services and may cancel as permitted by its Service Agreement.
22. Electronic Communications, Demonstrations, and Contact Preferences
FrontAgent may provide service agreements, notices, disclosures, invoices, and other necessary communications electronically. Permission for a requested demonstration, future promotional calls, promotional text messages, and recording or saved transcription is handled separately. Accepting these Terms does not by itself grant marketing permission or override a refusal or withdrawal.
22.1 Requested demonstration callback. A visitor may request one demonstration callback by entering a full name, telephone number, email address, and business name, verifying the email address, affirmatively accepting the applicable Terms, selecting the test-callback consent, and clicking “Call My Phone.” The request authorizes FrontAgent to call the specified number for that demonstration using an AI-generated or artificial voice. The visitor must be the subscriber or customary user of the number or otherwise authorized to receive that call. Email verification does not establish control of the telephone number. This is a demonstration: sample orders are not transmitted to a restaurant for fulfillment, and no purchase or enrollment is created by requesting the call.
22.2 Optional future business marketing calls. Separate, unselected Accept and Decline options will allow a visitor to choose whether [FULL LEGAL ENTITY NAME], doing business as FrontAgent, may call the specified number about FrontAgent services and related FrontAgent business offerings, through its owner, employees, or authorized agents, including calls using automated dialing technology and artificial, AI-generated, or prerecorded voices. The affirmative choice and submission are intended to document the visitor’s electronic consent where legally valid. Consent is not required to purchase Services, request the demonstration, or obtain service. It is limited to the identified business and number, subject to applicable law, and is not permission for unrelated businesses to contact the visitor.
22.3 Optional future promotional text messages. A separate, unselected Accept or Decline choice governs FrontAgent promotional text messages at the specified number, including automated messages where expressly described. Message frequency varies and message and data rates may apply. Consent is not required to purchase Services or request a demonstration. Reply STOP to withdraw promotional text permission; reply HELP for assistance once that messaging service is enabled. These instructions must be operational before enrollment is enabled. Declining calls does not enroll the visitor in texts, and declining texts does not enroll the visitor in calls. An unanswered optional choice is treated as no permission for that channel.
22.4 Refusals, withdrawals, and permitted contact. FrontAgent will honor a visitor’s refusal and subsequent withdrawal. A person may withdraw permission by telling the caller or agent, replying STOP to an enabled text channel, or using the working contact method published with the consent form. A general request not to contact the person will not be narrowly reinterpreted to continue another marketing channel. Withdrawal requests must be routed to suppression controls and handled within applicable legal deadlines. Separate requested or necessary service communications may be sent only when independently permitted by law and within the relevant request or relationship; describing a message as “business-related” does not override a marketing refusal. Consent never authorizes calls at any hour, unlimited contact, unlawful calls, or evasion of do-not-call requirements.
22.5 AI communication and recording are distinct. The requested demonstration may use an AI-generated voice and real-time audio processing to understand and respond. Saving the call audio or a conversation transcript requires a separate choice and all notices and participant consents required by law. Declining optional recording or saved transcription must not itself prevent an otherwise available unrecorded demonstration. If the technical workflow cannot honor that choice, FrontAgent must not start recording or substitute a recorded call; it must offer a compliant alternative or keep the affected feature unavailable. Before recording begins, the call workflow must provide the required notice and obtain all required participants’ consent, including when another participant joins. Test or marketing consent does not by itself authorize recording, AI model training, voice cloning, or unrelated reuse.
22.6 Consent presentation and evidence. Terms must be available from a clearly labeled link before the affirmative agreement. Required Terms acceptance and test-callback consent must be separate from optional calls, texts, and recording choices. Optional Accept and Decline options must be equally accessible and not preselected; optional choices do not gate the demonstration. The system must retain the exact wording and version shown, the specified number, each affirmative or negative choice, submission time, and the associated verification and request identifiers sufficient to demonstrate the action taken, subject to the Privacy Notice and approved retention policy. Refusal and withdrawal records must govern future eligibility. A checked browser box alone is not proof that these server-side controls exist.
22.7 Scope and launch status. These provisions describe the approved design for review, not a representation that email delivery, callbacks, promotional messaging, recording, or consent logging is operational. The Terms remain non-effective until the legal entity, contact methods, Privacy Notice, applicable disclosures, technical controls, and required legal and publication reviews are complete. No consent is collected or activated by the current preview. Acceptance of the final Terms will not retroactively activate a choice made in this preview.
23. General Terms
These Terms and any applicable Service Agreement are the entire agreement regarding their subject matter and supersede prior or contemporaneous statements on that subject. If a provision is unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will remain in effect. A waiver must be in writing and applies only to the specific instance. You may not assign these Terms without FrontAgent’s consent, except in connection with a permitted transfer of the Business Customer’s business and subject to the applicable Service Agreement. FrontAgent may assign these Terms in connection with a merger, reorganization, sale of assets, or by operation of law. Neither party is liable for delay caused by events beyond its reasonable control, except for payment obligations. Headings are for convenience only.
24. Contact
Questions about these Terms may be sent to [LEGAL/TERMS EMAIL]. Legal notices to FrontAgent must be sent to [FULL LEGAL ENTITY NAME], Attn: Legal, [MAILING ADDRESS], with a copy to [LEGAL NOTICE EMAIL].
